Our lawyers have been at the forefront of major developments in the policy, regulatory and commercial landscape for gas in Nigeria and also advising on a number of significant gas projects including projects that qualify as “firsts” in the West African Region such as the first regional gas pipeline in West Africa (the West African Gas Pipeline) and the first Gas-to-Liquids project in Africa (the Escravos Gas-to-Liquids Project). We are routinely engaged by gas producers and developers of gas processing plants, gas pipelines, petrochemical plants and power plants as well as gas marketers and offtakers to advise on a variety of commercial agreements including gas sale and purchase agreements, gas transportation agreements, franchise agreements for gas distribution networks, gas processing agreements, gas balancing agreements, tie-in agreements and gas marketing agreements. We have also supported gas producers in developing strategies for commercialising their gas resources.

INDUSTRY REFORMS

Gas flare reduction: As Senior Technical Adviser to the Minister of State for Petroleum Resources, Partner, ‘Gbite Adeniji designed the Nigerian Gas Flare Commercialization Programme, drafted the Flare Gas (Prevention of Waste and Pollution) Regulations, 2018 and chaired the Steering Committee for the implementation of the Programme.

Sector Policy: As Senior Technical Adviser to the Minister of State for Petroleum Resources, Partner, ‘Gbite Adeniji led the preparation of the National Gas Policy approved by the Federal Executive Council in 2017.

Domestic gas supply and pricing framework: Drafted the National Gas Supply and Pricing Policy and its implementing regulations, which set the framework for the domestic gas supply obligation (“DSO”) imposed on gas producers. Advised on the establishment of the Gas Aggregation Company of Nigeria and prepared templates of all the commercial agreements that underpin the supply of gas under the DSO regime.

PROJECTS & TRANSACTIONS

Project counsel to the US$3.5 billion Brass Fertilizer and Petrochemical Project in Bayelsa State.

Project counsel to the midstream developer of a of 400MMscfd gas processing plant. Drafted and negotiated a precedent-setting processing/tolling agreement to process, transport and market gas discovered in a concession governed by a PSC.

Advising the West African Gas Pipeline (“WAGP”) Company on regulatory and contractual requirements governing the proposed interconnection between WAGP and the Atuabo-Aboadze pipeline in Ghana.

Project Counsel to the NNPC/Pan Ocean Joint Venture in respect of the $1 billion Ovadje – Ogharefe Gas Processing Plant, a natural gas liquids gathering and processing plant. Also advised on legal issues relating to the trading of carbon credits available to the client in respect of the project – a first for Nigeria.

Advised on the partial divestment and operational structure of the 128km East Horizon Gas Pipeline.

Advising a pioneer domestic LNG producer and operator of a virtual pipeline network in Nigeria on the supply LNG to a power plant in the Northern Nigeria.

Advising the proponent of a floating LNG storage and regasification unit in the negotiation of a gas sale agreement for the supply of re-gasified LNG to a 1,500MW independent power plant.

Advised a gas producer in the negotiation of a gas sale and purchase agreement in respect of the supply of gas to a power plant in Ghana via the WAGP.

Advised investors in a major PSC development that came onstream in 2018 on gas supply and transportation agreements for gas produced from the PSC field.

Advised a marginal field joint venture on a gas sale and purchase agreement with the Nigerian Gas Marketing Company for gas supply into the Obiafu-Obrikom-Oben (OB-3) gas pipeline.
