Overview

Our lawyers have advised on acquisitions and divestitures of various types of energy assets including petroleum concessions, gas pipelines, power plants and mining interests as well as joint ventures and various forms of alliances and collaboration arrangements employed by investors in the petroleum upstream and mining projects. We conduct detailed due diligence investigations in connection with these transactions, proffer structuring advice and transaction documentation support and advise on closing requirements, taking into cognisance identified transaction risks and regulatory requirements.

Highlights

Transaction Counsel to ConocoPhillips on the US$1.5 billion sale of all its Nigerian upstream oil and gas business to Oando Energy Resources and on its exit from the Brass LNG Project.

Advised on the divestment of the participating interest of an upstream asset owner from OML 18.

Advising an independent exploration and production company in the negotiation of a production sharing contract in respect of an offshore oil block awarded during the 2007 bid round.

Represented Waltersmith Petroman Ltd in negotiating production sharing agreements with the Government of Uganda in respect of the Turaco oil blocks in Uganda.

Advised the Platform/Newcross Petroleum Joint Venture in respect of the divestment of its 30-mmscf/d gas processing plant to a midstream SPV controlled by a third party.

Advised prospective buyer on the acquisition of the Amukpe Refinery project.

Providing bespoke transactional, regulatory and legal advisory services to businesses and projects in Nigeria’s energy, resources and infrastructure sectors.
