OVERVIEW

Our lawyers have over the past decade advised, participated and still remain key players in shaping this transitional electricity market, especially as it relates to gas-based power generation. We have contributed to the design of the legal, regulatory, policy and commercial landscape for gas to power projects through advise rendered to the federal government in connection with the Nigerian Gas Masterplan, the National Domestic Gas Supply and Pricing Policy and the National Domestic Gas Supply and Pricing Regulations (which set a pricing framework for gas sale to the power sector), the first Gas Sale and Aggregation Agreement for gas supply to a government-owned power plant; and the first World Bank Partial Risk Guarantee Programme for gas supply to the power sector. This experience has deepened our understanding of the sector and its peculiar risks, which we bring to bear in structuring our client’s projects and transactions.


We have advised public and private sector clients on M & A deals, specifically, the divestment of interests of the Government’s in power plants; and the development of greenfield independent power plants for on-grid and off-grid power supply. We have also advised clients on negotiating and documenting power purchase agreements, gas sale agreement for fuel supply to power plants, connection agreements for transmission and/or distribution of electricity amongst other project agreements.

HIGHLIGHTS

Project counsel to the developer of a precedent-setting integrated 1500MW LNG-to-power project to be developed as part of the “Light up Lagos” initiative.

Advised Yellowstone Power Limited on the development of its 350 MW Ajaokuta IPP in Kogi State.

Advised on the acquisition of the Geregu II, Omotosho, Olorunsogo, Gbarain and Ihovbor National Integrated Power Project (“NIPP”) Plants.

Advising on the supply of LNG to a stranded independent power plant in northern Nigeria.

Providing bespoke transactional, regulatory and legal advisory services to businesses and projects in Nigeria’s energy, resources and infrastructure sectors.
